Terms of Service

These Terms of Service ("Terms") govern your use of ReplyChamp ("ReplyChamp", "we", "us", "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Who we are

ReplyChamp is a product of JFI Consulting Corp., a corporation incorporated under the British Columbia Business Corporations Act and doing business as "ReplyChamp."

JFI Consulting Corp. is based in Maple Ridge, British Columbia, Canada. Our full registered office address is on public record with BC Registry Services and is available on request for legal correspondence by emailing hello@replychamp.com.

In these Terms, "ReplyChamp," "we," "us," and "our" refer to JFI Consulting Corp.

2. What ReplyChamp does

ReplyChamp is an AI-assisted reply tool that helps small business owners respond to their Google reviews. With your authorization, ReplyChamp reads reviews from the Google Business Profile you connect, generates draft replies in a voice you configure, and posts replies only in accordance with rules you set and approvals you grant. ReplyChamp can also compare your Business Profile with similar businesses nearby, using public Google Maps data, and suggest improvements.

Human approval for sensitive and low-star reviews: ReplyChamp is designed so that any review our system flags for escalation signals (such as health or safety concerns, legal threats or refund disputes) is always held for your manual approval, whatever its star rating and whatever auto-reply setting you choose. Auto-reply is off until you turn it on. When it is on, reviews below the star level you choose are held for your approval; at the default level, that includes every 1- and 2-star review. If you choose to auto-reply to all ratings, you confirm that replies to 1- and 2-star reviews may post in your name without your review. You remain in control of what is published in your name.

3. Accounts

You must be at least 18 years old to use ReplyChamp.
You must provide accurate and complete information when registering.
You are responsible for maintaining the security of your account credentials.
You are responsible for all activity that occurs under your account.
You must only connect Google Business Profiles that you are authorized to manage.

4. Acceptable use

You agree not to use ReplyChamp to:

Reply to reviews on behalf of a business you do not own or have authority to manage.
Post content that is defamatory, harassing, abusive, discriminatory, threatening, obscene, or otherwise unlawful.
Post content that is misleading, fraudulent, or intentionally deceptive.
Attempt to manipulate Google's review system, fake engagement, or violate Google's Business Profile policies or Terms of Service.
Upload or transmit any virus, malware, or harmful code.
Interfere with or disrupt the service or its infrastructure.
Reverse-engineer, decompile, or attempt to extract the source code of the service, except to the extent such restriction is prohibited by applicable law.
Use the service to build a competing product.
Scrape, resell, or redistribute the service or its outputs.

We may suspend or terminate accounts that violate these rules.

5. AI-generated content

ReplyChamp uses large-language-model AI services to draft reply content based on your voice profile and the review being responded to. You understand that:

AI-generated content may occasionally contain inaccuracies, misunderstandings, or inappropriate wording. You are responsible for reviewing any reply before it is posted.
When you authorize a reply (manually, or through the auto-reply setting you choose for a location), you are the publisher of that content. ReplyChamp acts on your instructions.
We do not guarantee that every generated reply will meet your standards. Our goal is to produce drafts that are close enough that editing is easy.
Insights and suggestions, including comparisons with nearby businesses, are based on public data and AI analysis. They are for information only and may be incomplete or out of date.
You retain responsibility for ensuring replies comply with Google's policies and applicable law.

6. Subscription, trial, and billing

Auto-renewal disclosure (California customers and similar state laws): Your ReplyChamp subscription automatically renews at USD $15 per location per month or USD $150 per location per year (see below), monthly or annually depending on the billing period you choose, until you cancel. You will be charged at the start of each billing period to the payment method on file. You may cancel at any time by visiting your account settings and clicking "Cancel subscription" — no calls or emails are required. Cancelling before the end of a billing period stops the next renewal; no pro-rated refund is provided for the current period unless required by law or covered by the 30-day money-back guarantee in section 7.

ReplyChamp is a subscription service priced per business location you choose to manage in ReplyChamp: USD $15 per location per month, or USD $150 per location per year, with a minimum of one location. Your charge for each billing period is that price multiplied by the number of locations you manage. If you add a location during a billing period, it is billed from when you add it, and the cost for the rest of that period is charged at the time; if you remove one, the change applies from your next billing period. Owners with more than 15 locations may contact us for volume pricing. Prices are subject to change with at least 30 days' notice. All prices are stated in U.S. Dollars and are exclusive of any applicable sales, use, value-added (VAT), goods and services (GST), or similar taxes. Where we are required by law to collect such taxes based on your location (for example, Canadian GST/HST/QST, EU or UK VAT, or US state sales tax in jurisdictions where we have tax collection obligations), we will add them to your invoice. You are responsible for any other taxes applicable to your use of the service.
New accounts receive a 7-day free trial. No credit card is required to start the trial. Each business location can be part of one free trial: if a location has already had a trial under any account, adding it does not start a new one, and the trial for that account ends.
At the end of the trial, you will be prompted to subscribe. Unless you subscribe, your account will be downgraded to read-only access: you can still sign in, view your reviews, drafts and history, download your data and close your account, but ReplyChamp stops checking for new reviews, drafting and posting replies, and refreshing insights until you subscribe.
Subscriptions renew automatically at the end of each monthly or annual billing period until you cancel. You can cancel at any time from your account settings in a single, self-service step — the same channel through which you signed up. No phone call or email is required.
If you cancel, your subscription remains active until the end of the current billing period.
Payment is processed by Stripe. By subscribing, you agree to Stripe's terms.
If a payment fails, we may retry the charge and notify you. Continued failure may result in suspension of paid features.

7. Refunds and statutory rights

30-day money-back guarantee. If you are unhappy with ReplyChamp for any reason, email hello@replychamp.com within 30 days of your first payment and we will refund that payment in full, whether you chose monthly or annual billing. You don't need to give a reason. The guarantee applies once per customer, to the first subscription payment on your account. When we refund it, we cancel your subscription and your account becomes read-only.

Apart from the guarantee, we may offer other refunds at our discretion.

If you are a consumer located in the European Economic Area or the United Kingdom, nothing in these Terms affects or limits your statutory rights under applicable consumer-protection laws, including any right of withdrawal you may have. Where such rights apply and are exercised in accordance with applicable law, we will process refunds as required by that law.

8. Third-party services

ReplyChamp relies on third-party services to operate, including Google Business Profile, Google Maps Platform, Stripe, Supabase, Cloudflare, and AI-service providers. Your use of those services through ReplyChamp is also subject to their own terms. We are not responsible for outages, changes, or restrictions in those services that affect ReplyChamp. You acknowledge that Google may modify, suspend, or terminate access to its APIs at any time, which may affect ReplyChamp's functionality.

Competitor insights and the nearby-business comparison on the Google Profile page use Google Maps Platform. By using those features you agree to the Google Maps/Google Earth Additional Terms of Service, and Google’s use of information is described in the Google Privacy Policy.

You also agree that your use of ReplyChamp in connection with your Google Business Profile is subject to Google's Business Profile Terms of Service and applicable Google policies. ReplyChamp's use of Google APIs conforms to the Google API Services User Data Policy, including the Limited Use requirements described in our Privacy Policy.

9. Your content and license

You retain all rights to the content you provide (voice profile examples, reply edits, business information). You grant us a limited, worldwide, non-exclusive, royalty-free license to use that content solely to provide the ReplyChamp service to you — for example, to send your review and voice profile to our AI provider in order to generate a reply draft. This license ends when you delete the content or close your account, except to the extent we need to retain copies for security, fraud prevention, or legal compliance.

We do not use your content to train generalized AI models or for any purpose outside delivering the service to your account.

10. Intellectual property

ReplyChamp's software, design, branding, and other proprietary materials are owned by us and protected by applicable intellectual-property laws. You may not copy, modify, or redistribute them without our permission.

11. Service availability and changes

We strive to keep ReplyChamp available, but we do not guarantee uninterrupted service. We may update, change, or discontinue features at any time. If we discontinue the service entirely, we will give you reasonable notice and provide a way to export your data.

12. Termination

You can cancel your subscription or close your account at any time from your account settings. Closing your account cancels any subscription immediately. We may suspend or terminate your account if you materially violate these Terms, engage in fraudulent or abusive behaviour, or if required by law. Upon termination, your right to use the service ends immediately, and we will delete your data as described in our Privacy Policy.

13. Disclaimers

To the maximum extent permitted by applicable law, ReplyChamp is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated content will always be accurate or appropriate for every situation.

Nothing in these Terms excludes or limits warranties, representations, or liabilities that cannot be excluded or limited under applicable law (for example, mandatory consumer-protection warranties in certain jurisdictions).

14. Limitation of liability

To the maximum extent permitted by applicable law, JFI Consulting Corp. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the service. Our total aggregate liability for all claims arising from or relating to these Terms or the service shall not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim, or CAD $100, whichever is greater.

These limitations do not apply where prohibited by applicable law, including cases of gross negligence, wilful misconduct, or personal injury caused by our negligence.

15. Indemnification

If you use ReplyChamp in the course of your business or for commercial purposes, you agree to indemnify and hold harmless JFI Consulting Corp. and its directors, officers, employees, and agents from any third-party claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your content, your violation of these Terms, or your violation of any rights of a third party (including Google). This indemnification does not apply to the extent a claim arises from our own wrongful acts or omissions, or to the extent such indemnification is prohibited by applicable consumer-protection law.

16. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to applicable mandatory consumer laws, you agree to the non-exclusive jurisdiction of the courts located in British Columbia for any dispute.

If you are a consumer located outside Canada, nothing in this section deprives you of the protection of mandatory rules of the law of your country of residence, including the right to bring proceedings in the courts of that country.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the service at least 30 days before the changes take effect, except where a shorter period is required by law, security, or a change mandated by a third-party service we rely on. Continued use of the service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you may close your account.

18. Miscellaneous

These Terms (together with our Privacy Policy) are the entire agreement between you and JFI Consulting Corp. regarding the service. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our consent; we may assign them without restriction in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
